What This Means (2025 FDD)

According to Burger King's 2025 Franchise Disclosure Document, as a condition of approval as Managing Owner for the Franchisee Entity, you must not have operational or management commitments or responsibilities in any other restaurant business. This requirement is in place to ensure that the Managing Owner is fully dedicated to the Burger King franchise.

Prior to the fifth anniversary of the first Burger King franchise agreement between the franchisee and Burger King, or until any promissory note is paid in full (whichever is later), the Managing Owner faces even stricter limitations. During this initial period, the Managing Owner cannot engage in or own any interest in any other business activity, be employed by any other business, or participate in any activity that could impair the franchisee's ability to meet their obligations under the Franchise Agreement. An exception exists for owning less than a 5% beneficial interest in publicly traded companies.

After this initial period, the restrictions ease slightly, but the Managing Owner still cannot have operational or management commitments or responsibilities in any other restaurant business for the remainder of the term. This ensures that the Managing Owner's focus remains on the Burger King restaurant's operations and management. Burger King retains the right to define the term "vicinity" where the Managing Owner must live, ensuring they are close enough to the restaurant to provide adequate supervision.
