What This Means (2025 FDD)
According to Buns On Fire's 2025 Franchise Disclosure Document, Exhibit I outlines the entities included in the indemnification clause within the Training Completion Agreement and Release. This agreement is signed by franchisees, owners, operators, investors, or managers of a Buns on Fire restaurant who are commencing training.
The agreement specifies that the franchisee releases, holds harmless, and agrees to defend and indemnify SMYA Ventures LLC (Buns on Fire or Franchisor), the owners of the restaurants where training occurs, and their respective shareholders, officers, directors, employees, agents, representatives, affiliates, successors, and assigns. These parties are collectively referred to as the "RELEASED & INDEMNIFIED PARTIES."
This means that as a franchisee, you are agreeing to protect these specified entities from any liabilities, losses, injuries, damages, or costs that may arise during your training period. This could include incidents that occur while visiting, inspecting, training, or working in a Buns on Fire restaurant owned by the franchisor, its affiliates, or other franchisees. Prospective franchisees should carefully review Exhibit I and understand the full scope of this indemnification agreement, including the types of potential liabilities they may be responsible for covering.
