Under what conditions can Lynx IP terminate the trademark agreement with Bumble Roofing?

Bumble_Roofing Franchise · 2025 FDD

Answer from 2025 FDD Document

Lynx IP may terminate the trademark agreement if any misuse of these Marks materially impairs the goodwill associated with these Marks, if we violate any provision of the license agreement or we do not comply with Lynx IP's instruction concerning the quality of these Marks. If the trademark agreement is terminated, any then-existing sublicenses (franchises) will continue for the term of the sublicenses, provided that the sublicensees (franchisees) comply with all other terms of their franchise agreements.

What This Means (2025 FDD)

According to Bumble Roofing's 2025 Franchise Disclosure Document, Lynx IP, the owner of the Bumble Roofing trademarks, has the right to terminate the trademark license agreement under specific conditions. These conditions include any misuse of the trademarks that significantly harms the goodwill associated with them, any violation of the trademark license agreement itself, or failure to comply with Lynx IP's instructions regarding the quality of the trademarks.

This is a standard provision in franchise agreements, as trademark protection is crucial for maintaining brand consistency and reputation. If Lynx IP terminates the trademark agreement with Bumble Roofing, the existing franchise agreements (sublicenses) will continue for their term, provided the franchisees (sublicensees) comply with all other terms of their franchise agreements. This continuation clause protects franchisees who have invested in the Bumble Roofing brand, ensuring they can continue operating even if the overarching agreement between Bumble Roofing and Lynx IP is terminated.

It is important for prospective Bumble Roofing franchisees to understand the terms of both the franchise agreement and the trademark license agreement. While the franchise agreement protects the franchisee in the event of a termination of the trademark agreement, franchisees must still adhere to the terms of their agreements to continue operating. Franchisees should seek clarification from Bumble Roofing regarding the specific instructions and quality standards set by Lynx IP to avoid any potential issues that could lead to trademark agreement termination.
