What This Means (2025 FDD)
According to Bumble Roofing's 2025 Franchise Disclosure Document, the franchise agreements are governed by Illinois law, but only to the extent that the Illinois Franchise Disclosure Act applies. Specifically, the Illinois Addendum to the Franchise Disclosure Document states that Illinois law governs the agreements between the parties to the franchise.
However, the FDD also indicates that the franchise agreement requires application of the laws of the Commonwealth of Virginia. This provision may not be enforceable under California law. Additionally, the Rhode Island Franchise Investment Act states that any provision in a franchise agreement requiring the application of the laws of another state is void with respect to a claim otherwise enforceable under this Act.
Prospective franchisees should be aware of these conflicting provisions and consult with legal counsel to understand which state's laws will ultimately govern the franchise agreement, especially if they are located in California, Illinois, or Rhode Island. It is important to understand your rights and obligations under the applicable state laws.
