ITEM 1 THE FRANCHISOR, AND ANY PARENT, PREDECESSORS AND AFFILIATES
To simplify the language in this franchise disclosure document ("disclosure document"), "BUMBLE ROOFING," "we," "us," "our" or "ourselves" means Bumble Roofing Franchisor, LLC, the "Franchisor" and owner of the BUMBLE ROOFING® franchise system. "You," "your" or "yourself" means the person or entity that buys the franchise, the "Franchisee." If you are a corporation, partnership or other entity, "you" also may mean your owners.
Franchisor and Predecessors
We are a Delaware limited liability company formed on March 29, 2023. Our principal business address is 2426 Old Brick Road, Glen Allen, VA 23060. We conduct business under the trademark "BUMBLE ROOFING." Our agents for service of process are listed in Exhibit D. We began offering BUMBLE ROOFING® franchises in August 2023. We have not conducted a business of the type that you will operate and have not offered franchises in any other line of business.
We acquired the franchise assets related to the BUMBLE ROOFING system on May 1, 2023, as the result of a transaction between our parent company, Empower Brands Franchising, LLC, formerly known as Lynx Franchising, LLC a Delaware limited liability company ("Empower Brands"), and our predecessor, La Roofing & Builder Group Inc. d/b/a Bumble Roofing ("Bumble Predecessor"). Bumble Predecessor had a principal business address of 6800 Owensmouth Ave Ste 410, Canoga Park, CA 91303. Bumble Predecessor was a California corporation formed in November 2019. Bumble Predecessor operated a Roofing Business. Bumble Predecessor had not offered franchises in any line of business.
