What This Means (2025 FDD)
According to Bumble Roofing's 2025 Franchise Disclosure Document, the service mark "Bumble Roofing" is owned by Lynx IP, an affiliate of Bumble Roofing. The mark is registered on the Principal Register with the United States Patent and Trademark Office (USPTO), with Registration No. 6255157 and a registration date of January 26, 2021. Lynx IP states its intention to file all required affidavits and renewals to maintain the registration.
While Lynx IP owns the "Bumble Roofing" service mark, Bumble Roofing has been granted the perpetual right to use and sublicense the mark to its franchisees through a trademark license agreement effective August 4, 2023. This agreement allows Bumble Roofing to grant franchisees the nonexclusive right to use the "BUMBLE ROOFING" service mark, along with associated designs and logos, to operate their roofing businesses. However, Lynx IP retains the right to terminate the trademark agreement if Bumble Roofing misuses the marks, impairs the associated goodwill, violates the license agreement, or fails to comply with Lynx IP's instructions regarding the quality of the marks.
Despite Lynx IP's ownership, franchisees' rights to use the Bumble Roofing mark are protected even if the trademark agreement between Lynx IP and Bumble Roofing is terminated. In such a scenario, existing franchise agreements (sublicenses) will continue for their full term, provided that the franchisees comply with all other terms of their franchise agreements. This arrangement provides a degree of security for franchisees, ensuring they can continue operating under the Bumble Roofing brand even if the relationship between the franchisor and the trademark owner changes.
Prospective franchisees should understand the relationship between Bumble Roofing and Lynx IP, as it impacts the long-term security and control of the brand. While Bumble Roofing has the right to sublicense the mark, the ultimate control resides with Lynx IP. Franchisees should also be aware of the restrictions on how they can use the marks, as outlined in the Franchise Agreement and Operations Manual, to avoid any potential conflicts or misuse that could jeopardize the trademark agreement.
