What This Means (2025 FDD)

Based on the 2025 Bumble Roofing Franchise Disclosure Document, the franchise agreement is not necessarily the entire agreement between the franchisee and the franchisor. There are several addenda, exhibits, and separate agreements that modify or supplement the franchise agreement. For instance, an Aggregate Reporting Addendum modifies the provisions of the Franchise Agreements as a result of a franchisee owning multiple Franchised Businesses.

Additionally, franchisees may be required to sign an Acknowledgment Addendum to the Bumble Roofing Franchise Agreement, which serves to confirm that no unauthorized statements or promises were made during the franchise sales process. This addendum aims to ensure the franchisee understands the limitations on claims related to the franchise offering and business operation. There are also attachments to the franchise agreement, such as Attachment A, which specifies the territory and initial franchise fee, and Attachment B, which includes a Guaranty and Assumption of Franchisee's Obligations.

Furthermore, when a franchisee seeks to extend their franchise term, they must execute a Successor Franchise Agreement, which may contain materially different terms and conditions than the original agreement. The franchisee must also execute a general release of all claims they may have against Bumble Roofing. These additional documents and requirements indicate that the franchise relationship is governed by more than just the initial franchise agreement. A prospective franchisee should carefully review all related documents and understand their implications.
