Is the Bumble Roofing franchise agreement binding on the franchisee's successors and assigns?

According to the 2025 Bumble Roofing Franchise Disclosure Document, the guarantee of performance provided by Outdoor Living Brands HoldCo LLC, as the Guarantor, is binding on the Guarantor and its successors and assigns. This guarantee ensures that the Guarantor will assume the duties and obligations of Bumble Roofing Franchisor, LLC under its franchise registration and Franchise Agreement.

This guarantee remains in effect until all obligations of Bumble Roofing Franchisor, LLC under its franchise registrations and the Franchise Agreement are satisfied or until the liability of the Franchisor to its franchisees under the Franchise Agreement has been completely discharged, whichever occurs first. The Guarantor's obligations are not discharged even if a franchisee has an outstanding claim against the Franchisor.

This means that if Bumble Roofing Franchisor, LLC were to be acquired or undergo a similar change in control, the obligations to franchisees would continue to be guaranteed by Outdoor Living Brands HoldCo LLC, or its successors, providing a level of financial security for Bumble Roofing franchisees.
