What This Means (2025 FDD)

According to Bumble Roofing's 2025 Franchise Disclosure Document, the terms of the addendum to the franchise agreement apply in the event of a conflict between the addendum and the franchise agreement. This general principle is stated in addenda for multiple states, including Maryland, Minnesota, New York, and Rhode Island.

Specifically, the New York Addendum states that the New York Franchise Law governs any claim arising under that law. Similarly, the Rhode Island Addendum specifies that any provision restricting jurisdiction or venue to a forum outside of Rhode Island or requiring the application of another state's laws is void with respect to claims enforceable under the Rhode Island Franchise Investment Act.

For franchisees in California, the FDD states that the franchise agreement requires application of the laws of the Commonwealth of Virginia, but this provision may not be enforceable under California law. These stipulations ensure that franchisees' rights under state-specific franchise laws are protected, regardless of what the standard franchise agreement stipulates.

Prospective Bumble Roofing franchisees should be aware of these state-specific addenda and understand how they modify the standard franchise agreement to protect their rights under local laws. It is important to carefully review the addendum applicable to their state to understand which laws will govern their franchise agreement and any potential disputes.
