Can Bumble Roofing designate itself or an affiliate as the only designated or approved supplier of any additional Required Items?

We have standards and specifications for your Products, Services, equipment, tools, office, vehicle, uniforms, inventory, supplies, forms, advertising materials, computer hardware and software, accounting systems, bookkeeping service, and/or other services and products used in, sold or provided through your Roofing Business ("Required Items"). We will notify you of our specifications and standards. To maintain our standards of consistent, high-quality products, customer recognition, advertising support, value and uniformity in Roofing Business, we may require you to purchase or lease some or all Required Items per our specifications and standards. We also reserve the right to require you to purchase any Required Items only from our designated or approved suppliers. The term "suppliers," also includes vendors, manufacturers and distributors. We have also identified a number of preferred, but not required, suppliers for other Required Items. Except as disclosed in this Item 8, neither we nor an affiliate is currently the only designated or approved supplier of any Required Items. We reserve the right, however, at any time and at our discretion, to designate ourselves or one of our affiliates as the only designated or approved supplier, or one of several designated or approved suppliers, of any additional Required Items.

According to Bumble Roofing's 2025 Franchise Disclosure Document, Bumble Roofing reserves the right to designate itself or an affiliate as the sole approved supplier of additional required items at any time. Currently, neither Bumble Roofing nor its affiliates are the only designated or approved supplier for any required items. However, this could change at Bumble Roofing's discretion.
Bumble Roofing has the authority to set standards and specifications for products, services, equipment, tools, and other items used in the business. To maintain consistent quality and uniformity, Bumble Roofing may require franchisees to purchase or lease some or all required items according to their standards and specifications. This includes the option to mandate purchases from designated or approved suppliers, which could include Bumble Roofing itself or one of its affiliates.
If a franchisee wishes to use a supplier or product not already approved, they must submit samples and detailed information for evaluation. Bumble Roofing will then assess the proposed supplier based on factors like price, service, quality, and warranty. While there is currently no fee for this evaluation, Bumble Roofing reserves the right to charge up to $200 per request in the future and may also require reimbursement for evaluation costs. Approval of a supplier can be revoked with 30 days' notice.
Bumble Roofing estimates that required purchases will constitute 50% to 60% of the initial investment and ongoing operating expenses for franchisees. Bumble Roofing and its affiliates may receive revenue from franchisees' purchases of required items, potentially ranging from less than 1% up to 10% or more of the purchase price. This revenue is retained and used by Bumble Roofing as deemed appropriate.
