Under the Buildingstars Technician Franchise Agreement, is the franchisee permitted to offer or perform any Specialty Work?

- A. Area. Subject to the terms and conditions of this Agreement, BUILDINGSTARS hereby grants to FRANCHISEE the nonexclusive right and license to use the System and Marks in connection with the operation of the Business under BUILDINGSTARS' "Technician Program". FRANCHISEE will operate the Business only within the metropolitan area listed in Exhibit III attached hereto ("Area"). FRANCHISEE shall not interfere with, service, or solicit Customers of BUILDINGSTARS, any of BUILDINGSTARS' Affiliates, or their franchisees, independent contractors or licensees. FRANCHISEE is not permitted to offer or perform any Specialty Work under this Technician Franchise Agreement.
If a Customer requests that FRANCHISEE render any services or sell any products that are not of the type that is normally rendered in connection with the System, FRANCHISEE must first notify BUILDINGSTARS and obtain approval from BUILDINGSTARS.
BUILDINGSTARS will not unreasonably object to FRANCHISEE'S request provided that the services do not interfere with the services that FRANCHISEE renders in connection with the franchise, the services and products are in no way associated with the Marks and System, FRANCHISEE is capable of providing the products and services in a good and workmanlike manner, and the Customer is fully apprised that the services or products are not being rendered in connection with the franchise.
BUILDINGSTARS retains the right to object to any future requests and the failure to object to any request shall not prohibit BUILDINGSTARS from objecting to any future requests.
- I. "Specialty Work" means project work that is above and beyond the scope of the monthly janitorial services, such as carpet cleaning, floor refinishing, window cleaning and special projects.

This limitation could impact the potential revenue streams for the franchisee, as they are restricted from tapping into additional service offerings that customers might need.
However, if a customer requests services or products not typically offered within the Buildingstars system, the franchisee must first seek approval from Buildingstars. Buildingstars states that it will not unreasonably object to the franchisee's request as long as the services do not interfere with the regular franchise services, are not associated with the Buildingstars brand, the franchisee is capable of providing the services properly, and the customer understands that these services are separate from the franchise. Buildingstars retains the right to object to future requests, and approval of one request does not guarantee approval of subsequent requests.
