- FRANCHISEE recognizes that it is not permitted to use the System or Marks in connection with the sale of any products or services other than the cleaning business. If a Customer requests that FRANCHISEE render any services or sell any products that are not of the type that is
normally rendered in connection with the System, FRANCHISEE must first notify BUILDINGSTARS and obtain approval from BUILDINGSTARS. BUILDINGSTARS will not unreasonably object to FRANCHISEE'S request provided that the services do not interfere with the services that FRANCHISEE renders in connection with the franchise, the services and products are in no way associated with the Marks and System, FRANCHISEE is capable of providing the products and services in a good and workmanlike manner, and the Customer is fully apprised that the services or products are not being rendered in connection with the franchise. BUILDINGSTARS retains the right to object to any future requests and the failure to object to any request shall not prohibit BUILDINGSTARS from objecting to any future requests.

What This Means (2025 FDD)
According to Buildingstars's 2025 Franchise Disclosure Document, franchisees must obtain approval from Buildingstars if a customer requests services or products outside the normal scope of the Buildingstars system. Buildingstars will not unreasonably object to a franchisee's request if the additional services do not interfere with the core franchise services, are not associated with Buildingstars's marks or system, the franchisee can provide the services competently, and the customer understands these services are separate from the franchise.
However, Buildingstars retains the right to object to future requests, and a failure to object to one request does not prevent them from objecting to subsequent requests. This means that even if Buildingstars initially allows a franchisee to offer a specific additional service, they can later object to the franchisee offering the same service again.
Furthermore, the FDD states that Buildingstars has the absolute right to approve, disapprove, give consent, and refuse consent to franchisee's requests in its sole and absolute discretion. This clause suggests Buildingstars is not obligated to provide a specific reason for objecting to a franchisee's request to offer additional services, as long as they are acting within their discretion. However, if Buildingstars wrongfully withholds consent, the franchisee's sole remedy is to require Buildingstars to grant such consent.
