If Buildingstars assigns its rights, is Buildingstars relieved of its obligations?

According to Buildingstars's 2025 Franchise Disclosure Document, Buildingstars is free to assign its rights and obligations under the Franchise Agreement. Upon assignment, Buildingstars is relieved of the obligations assigned, and those rights and obligations transfer to the successor or assignee.

This means that if Buildingstars decides to transfer its interest in the franchise agreement to another party, it can do so freely. More importantly, once Buildingstars makes that transfer, it is no longer responsible for fulfilling the obligations that were assigned to the new party. The new party, known as the successor or assignee, then assumes all of Buildingstars's rights and responsibilities under the agreement.

For a prospective franchisee, this clause indicates that the stability of the franchisor is important. If Buildingstars were to assign the franchise agreement to a less capable or reputable entity, the franchisee would have to work with that new entity. It is important to note that this transfer does not require the franchisee's approval.
