Can a Buildingstars franchisee interfere with or solicit customers of Buildingstars, its affiliates, or their franchisees?

FRANCHISEE shall not interfere with, service, or solicit Customers of BUILDINGSTARS, any of BUILDINGSTARS' Affiliates, or their franchisees, independent contractors or licensees.
B. Rights Reserved by BUILDINGSTARS and Affiliates. BUILDINGSTARS and its Affiliates retain the right to operate and to franchise or license to third parties the right to operate businesses using the System and/or Marks anywhere, including within and outside of the Area. BUILDINGSTARS, its Affiliates and other franchisees and licensees are also permitted to operate or license others to operate businesses similar to or the same as the Business under different Marks or the System or different systems anywhere, including within and outside of the Area. BUILDINGSTARS and its Affiliates are also authorized to sell some or all of the products and services authorized for sale by the Business in any channel of distribution, including but not limited to the wholesale sales of products and/or to provide management and/or consulting services using the System and/or the Marks.

What This Means (2025 FDD)
According to Buildingstars's 2025 Franchise Disclosure Document, franchisees are prohibited from interfering with or soliciting customers of Buildingstars, its affiliates, or their franchisees, independent contractors, or licensees.
The Buildingstars franchisee agrees that during the term of the agreement, and for one year after the agreement's transfer, expiration, or termination, they will not provide services to any customer for which the franchisee has rendered services under the agreement or to which the franchisee has been introduced as a Buildingstars franchisee. If a franchisee breaches this provision, they must pay Buildingstars a fee equal to three times the monthly amount agreed to be paid by the customer for services.
The Buildingstars franchisee is also prohibited from contacting or soliciting any service provider for the purpose of encouraging them to terminate or alter their relationship with Buildingstars, its affiliates, or other franchisees. Franchisees also cannot take any action to interfere with the business relationship between a customer and Buildingstars.
However, the FDD clarifies that nothing restricts a Buildingstars franchisee from providing janitorial/cleaning services to any entity or person that is not a customer. Buildingstars intends to restrict franchisee activities only to the extent necessary to protect Buildingstars' legitimate business interests.
