What This Means (2025 FDD)

According to Buildingstars's 2025 Franchise Disclosure Document, the franchise agreement grants a nonexclusive right to the franchisee. Specifically, Buildingstars grants the franchisee the nonexclusive right and license to use their system and marks in connection with operating the business under Buildingstars' On-Site Manager Program. The franchisee is restricted to operating the business only within the metropolitan area listed in Exhibit I of the agreement. The franchisee is also prohibited from interfering with, servicing, or soliciting customers of Buildingstars, its affiliates, or their franchisees, licensees, or independent contractors.

Buildingstars retains significant rights, including the right to operate and franchise or license others to operate businesses using the Buildingstars system and marks anywhere, both within and outside the franchisee's designated area. Buildingstars, its affiliates, and other franchisees and licensees can also operate similar businesses under different marks or systems, again without geographic limitation. Furthermore, Buildingstars and its affiliates are authorized to sell products and services through any distribution channel, including wholesale, and to provide management or consulting services using the system and marks.

This non-exclusive arrangement means that a Buildingstars franchisee may face competition from other Buildingstars franchisees, from Buildingstars itself, or from its affiliates within the same metropolitan area. This lack of territorial exclusivity is a critical factor for prospective franchisees to consider, as it directly impacts the potential market and competitive landscape for their business. Franchisees need to assess the market conditions and competitive intensity in their area, as Buildingstars retains the right to expand its presence through various channels, potentially affecting the franchisee's revenue and profitability.

Prospective franchisees should carefully evaluate Exhibit I of the franchise agreement to understand the precise boundaries of their metropolitan area and conduct thorough market research to assess the existing and potential competition within that area. Understanding these competitive dynamics is essential for developing a robust business plan and mitigating the risks associated with the non-exclusive nature of the franchise agreement.
