Principal waives all rights to payments and claims for reimbursement or subrogation which any of the undersigned may have against Developer arising as a result of the undersigned's execution of and performance under this Guaranty. This Guaranty and all claims arising from, under or with respect to the relationship between Franchisor and Principal(s) will be interpreted, enforced and governed by the laws of Texas (without regard to Texas conflicts of law rules).
Principal further acknowledges and agrees as follows:
- (a) he has read the terms and conditions of the Agreement and acknowledges that the execution of this Guaranty is in partial consideration for, and a condition to Franchisor's execution of the Agreement, and Franchisor would not have granted such rights without the execution of this Guaranty by each of the undersigned;
- (b) This Guaranty will remain in force notwithstanding the death of the undersigned, and will be binding on the undersigned's personal representatives; and
- (c) This Guaranty will continue and will be enforceable notwithstanding any change in the name or the constitution of Franchisor or Developer.

According to the 2025 Buff City Soap FDD, the Principal waives all rights to payments and claims for reimbursement or subrogation against the Developer. This means the Principal cannot seek repayment or compensation from the Developer for any obligations the Principal fulfills under the Guaranty related to the franchise agreement.
This waiver is a condition of Buff City Soap entering into the franchise agreement. The franchisor requires the Guaranty from the Principal and would not grant franchise rights without it. This ensures that the Principal is fully committed to supporting the Developer's obligations. The Guaranty remains in effect even if the Principal dies, binding their personal representatives. It also continues regardless of any changes to the names or structures of Buff City Soap or the Developer.
The Principal also represents that all statements made by the Developer are true and accurate. They agree to be personally bound by and liable for any breaches of the franchise agreement, including both monetary obligations and required actions. This personal liability extends to fulfilling obligations if the Developer fails to do so, and Buff City Soap is not required to pursue the Developer before seeking recourse from the Principal. The Principal waives any right to demand that Buff City Soap first take action against the Developer.
Furthermore, the Principal's liability is not affected by any extensions of time or credit that Buff City Soap may grant to the Developer. The Guaranty remains in effect throughout the term of the agreement, and any compromises or releases of claims do not modify the Guaranty. This comprehensive waiver and guarantee ensure that Buff City Soap has strong protection against potential defaults or breaches by the Developer, with the Principal serving as a direct and unconditional guarantor of the franchise agreement.
