What This Means (2025 FDD)

According to the 2025 Buff City Soap FDD, the Training Liability Waiver requires the Releasee to waive, relinquish, discharge, release, and covenant not to sue the Company or its related entities. This waiver covers any rights, claims of injury, demands, causes of action, damages, liabilities, or loss that the Releasee may have, arising from or connected with the Activities at or via the Company. This includes participation in Company-sponsored events, programs, or being present on property owned or controlled by Buff City Soap.

In practical terms, this means that if a franchisee or their representative is injured or incurs any loss during the initial training program or related activities, they agree not to hold Buff City Soap liable. This extends to claims made by anyone who could recover through the Releasee. The Releasee also agrees not to bring any claims or complaints against Buff City Soap for any matters covered by the waiver.

However, the document also states that prospective franchisees must use good judgment and conduct themselves safely during training activities. They should only participate in activities they are comfortable with and are responsible for assessing their own health and physical condition to ensure they can safely participate. This waiver is contingent on the Releasee providing informed consent and assuming the risks associated with participating in the Activities.

It's important to note that in certain states like Maryland, such waivers may not act as a release, estoppel, or waiver of liability incurred under the state's franchise law. Franchisees should carefully review the waiver and understand its implications, especially concerning potential risks and their own conduct during training.
