What This Means (2025 FDD)
According to the 2025 Buff City Soap FDD, the term of the Area Development Agreement depends on whether a development schedule is provided. The agreement term commences on the effective date and expires on the earlier of either the expiration date on the summary page, or the date the developer opens the cumulative number of Makeries in the territory as outlined in the Development Schedule. If there is no development schedule, the agreement lasts until the expiration date listed on the summary page.
If a developer fails to comply with the Development Schedule during any Development Period, it constitutes an event of default. Buff City Soap can terminate the agreement if the developer does not cure the default within 30 days after receiving notice.
Prospective developers should carefully review the Summary Page of the Area Development Agreement to understand the term and any obligations, and they should discuss with Buff City Soap the specific expectations for opening Makeries in their territory.
