What This Means (2025 FDD)

According to Buff City Soap's 2025 Franchise Disclosure Document, the Guaranty and Undertaking of Obligations is provided by each Principal of the Developer to the Franchisor. This is done in consideration of, and as an inducement to, the execution of the Area Development Agreement, including all exhibits and amendments. The agreement is between the Franchisor and the Developer.

In simpler terms, Buff City Soap requires a personal guarantee from the key individuals (Principals) behind the company (Developer) that is entering into an Area Development Agreement. This guarantee is part of what motivates Buff City Soap to sign the Area Development Agreement with the Developer. By providing this guarantee, the Principal agrees to be held personally responsible for the Developer's obligations under the Area Development Agreement.

This means that if the Developer fails to meet its financial or operational obligations, Buff City Soap can seek recourse directly from the Principal(s) who provided the guarantee. This is a common practice in franchising, as it provides the franchisor with an additional layer of security and ensures that the Developer is fully committed to fulfilling its obligations under the agreement.
