What This Means (2025 FDD)
According to the 2025 FDD, a Buff City Soap employee has specific obligations regarding confidential information learned during their employment. Upon the franchisee's request, the employee must either return all confidential information to the franchisee or, at the franchisee's option, certify that all media containing confidential information has been destroyed. However, the employee can retain an archival copy of the confidential information in their counsel's files, but only to prove the contents of the confidential information.
This obligation ensures that Buff City Soap franchisees can protect their sensitive business data and trade secrets. The employee's agreement to return or destroy confidential information helps prevent unauthorized use or disclosure of this information, which could harm the franchisee's business. The exception allowing the employee's counsel to retain an archival copy provides a safeguard for legal purposes while still maintaining confidentiality.
It is important to note that these restrictions on the employee's use or disclosure of confidential information do not apply under certain conditions. These conditions include situations where the employee independently developed the information, the information became publicly available through no fault of the employee, the employee possessed the information without restriction before disclosure, or a court order requires disclosure. However, even in the case of a court order, the employee must promptly notify the franchisee and take reasonable steps to protect the confidentiality of the information.
These stipulations are designed to balance the franchisee's need to protect confidential information with the employee's rights and obligations. By clearly defining the employee's responsibilities regarding confidential information, Buff City Soap aims to minimize the risk of data breaches and maintain the integrity of its franchise system.
