What This Means (2025 FDD)
According to Buff City Soap's 2025 Franchise Disclosure Document, a 'Crisis Management Event' is defined as an event affecting the Developer or its Makeries that the Franchisor determines may materially affect the Marks and goodwill associated therewith. This definition places the discretion of determining what constitutes a crisis squarely with the Franchisor.
For a prospective Buff City Soap franchisee, this means that any event that could potentially harm the brand's reputation or goodwill could be classified as a 'Crisis Management Event'. Franchisees are obligated to notify the Franchisor within 24 hours of such an event and must comply with any instructions provided by the Franchisor to mitigate the crisis. Failure to report such an event within the specified timeframe constitutes a material breach of the franchise agreement.
This clause highlights the importance of maintaining open communication with the Franchisor and adhering to their guidance during challenging situations. It also underscores the Franchisor's control over brand management and reputation, which is crucial for maintaining consistency and trust across the Buff City Soap franchise network. Franchisees should be prepared to act swiftly and decisively in the event of a crisis, following the Franchisor's directives to protect the brand's image and goodwill.
