You may view the Manual in confidence if you sign and return a Confidentiality Agreement to Budget (See Exhibit D). You must return the Manual and any other manuals to Budget when required under the Budget License Agreement (the Budget License Agreement, Article III) (see Item 8).

- Provide you information concerning the equipment, signs, fixtures, supplies, and vehicles that you will need to develop and operate your Budget Franchise (the Budget License Agreement, paragraphs 9.11 and 9.12) (see Items 7 and 8). We will provide a list of
approved vendors and specifications related to equipment, signs fixtures, opening inventory and supplies. However, we will not deliver or install these items.

What This Means (2025 FDD)
According to Budget's 2025 Franchise Disclosure Document, to view the franchise's manual in confidence before purchasing a franchise, you must sign and return a Confidentiality Agreement to Budget. This agreement is attached to the disclosure document as Exhibit D.
The manual is considered confidential and remains Budget's property. It contains proprietary information critical to the operation of a Budget franchise. This measure ensures that sensitive business practices and knowledge are protected from being disclosed to competitors or misused.
After the Budget License Agreement is terminated, you cannot reproduce, exhibit, or disclose the manual, or any confidential element of or information about a Budget Franchise, to anyone other than your partners, shareholders, directors, and employees; or disclose any confidential information communicated to your partners, shareholders, directors, and employees by or at the direction of Budget.
