What This Means (2025 FDD)
Based on the 2025 Franchise Disclosure Document, there is no specific change mentioned regarding Paragraph 14.2(a) of the License Agreement for a Budget franchise. Paragraph 14.2(a) generally outlines that the License Agreement, along with its exhibits and schedules, constitutes the entire agreement between the parties, incorporating all prior negotiations and understandings. It also clarifies that the Standards and Programs, as modified, are included by reference and that the agreement does not disclaim representations made in the Franchise Disclosure Document.
While the FDD excerpt details several modifications to other paragraphs within the License Agreement, such as those concerning infringement claims, termination fees, and non-competition clauses, it remains silent on any alterations or amendments to Paragraph 14.2(a). This suggests that the original terms of Paragraph 14.2(a), as described in the License Agreement, remain unchanged.
Prospective Budget franchisees should carefully review the full License Agreement and consult with a legal professional to fully understand the implications of Paragraph 14.2(a) and how it affects their rights and obligations. It would be prudent to seek clarification from Budget regarding any potential unwritten understandings or agreements that might influence the interpretation or enforcement of this particular paragraph.
