Background. Avis Budget Car Rental and Licensee are parties to that certain
Rental
System Agreement dated

(the "Rental System Agreement")
that has been signed concurrently with the signing of this Rider. This Rider is annexed to and
forms part of the Rental System Agreement. This Rider is being signed because (a) the Budget
Franchise that Licensee will operate under the License Agreement with Budget Rent A Car
System, Inc. (pursuant to which the parties are signing the Rental System Agreement) will be
located within the State of New York and Licensee is a resident of the State of New York; and/or
(b) any of the offering or sales activity with respect to that License Agreement occurred in the
State of New York. Each provision of this Rider will be effective only to the extent, with respect
to such provision, that the jurisdictional requirements of the New York franchise disclosure law
and its regulations are met independently without reference to this Rider.

What This Means (2025 FDD)

According to Budget's 2025 Franchise Disclosure Document, the licensee operates the Budget Rent A Car business under a license agreement with Budget Rent A Car System, Inc. The licensee enters into a Rental System Agreement with Avis Budget Car Rental, LLC to receive rental agreement processing services and access to the Wizard System in connection with their Budget Rent A Car business.

Budget grants the licensee the right to use its system and marks to conduct a rental business. This includes offering vehicles designed for transporting passengers, such as SUVs, crossovers, passenger vans, and smaller pick-up trucks. The licensee must operate the rental business in compliance with Budget's standards and the provisions of the agreement.

Budget may publish an international directory listing the name and address of the Rental Business. This directory may be published electronically. Budget also has the right to enter into service contracts with various national accounts and set minimum and maximum pricing where permitted by law. The licensee is required to accept reservations, abide by the terms and rates, and maintain vehicle availability for these national accounts, providing them with the same level of service as other customers or a higher level as required by Budget's standards.
