What This Means (2025 FDD)

According to Budget's 2025 Franchise Disclosure Document, if a licensee develops any improvements that could be useful to the Budget system, the licensee must make those improvements available to Budget and its related entities, successors, and assigns, as well as all system licensees and operators in the network throughout the world. This is required free of charge and for a perpetual duration, upon Budget's request. These improvements can include any idea, method of operation, formula, design, invention, marketing technique, or trademark.

This requirement means that any innovation a franchisee develops related to the Budget system essentially becomes the property of the entire franchise network. While the franchisee may have invested time and resources into developing the improvement, they are obligated to share it without compensation if Budget requests it. This could potentially disincentivize franchisees from investing heavily in R&D or process improvements, as they would not directly benefit from their innovations beyond their own location.

This type of clause is not uncommon in franchising, as franchisors aim to maintain consistency and leverage best practices across the entire system. However, it's crucial for prospective Budget franchisees to understand this obligation and factor it into their business planning and innovation efforts. Franchisees should consider the potential impact on their ability to monetize their own ideas and the overall incentive structure for contributing to the Budget system's development.
