- (12) If the Agreement contains a provision that is inconsistent with the Indiana Code, the provisions of the Indiana Code will supersede the Agreement.
- (13) This Addendum will have effect only if the Franchise Agreement or License Agreement and/or the relationship between FRANCHISOR and FRANCHISEE satisfy all of the jurisdictional requirements of the Indiana Code, without considering this Addendum. Except as expressly modified by this Addendum, the Franchise Agreement or License Agreement remains unmodified and in full force and effect.

What This Means (2025 FDD)
According to the 2025 Brueggers Bagels Franchise Disclosure Document, the Indiana Code Addendum will only have an effect on the Franchise Agreement if the agreement and/or the relationship between Brueggers Bagels and the franchisee satisfy all of the jurisdictional requirements of the Indiana Code. This determination is made without considering the Addendum itself.
In simpler terms, the Indiana Code Addendum is only applicable if the legal requirements for Indiana franchise law to apply are already met independently of the Addendum. This means the franchisee must either be a resident of Indiana or operating a franchise within the state for the Indiana Code to be relevant.
If the jurisdictional requirements of the Indiana Code are met, the provisions of the Indiana Code will supersede any inconsistent terms in the Franchise Agreement. However, the Franchise Agreement remains in full effect, except for the specific modifications outlined in the Addendum.
