Does Brueggers Bagels have any obligation or liability to the franchisee if it modifies or substitutes the Proprietary Marks?

We can modify the Proprietary Marks and/or substitute different proprietary marks for use in identifying our restaurants and the System. You must promptly implement any modification or substitution at your own cost and expense. We will have no obligation or liability to you as a result of the modification or substitution.

What This Means (2025 FDD)
According to Brueggers Bagels's 2025 Franchise Disclosure Document, Brueggers Bagels has the right to modify its Proprietary Marks, which include trademarks, service marks, and logos used to identify their bakeries. These marks include "Bruegger's" and "Bruegger's Bagels."
If Brueggers Bagels modifies or substitutes these marks, franchisees are obligated to implement these changes at their own expense. This means that franchisees will bear the costs associated with updating signage, marketing materials, and any other items that display the Proprietary Marks.
Importantly, the FDD explicitly states that Brueggers Bagels will have no obligation or liability to the franchisee as a result of any such modification or substitution.
