What This Means (2025 FDD)
According to Brueggers Bagels' 2025 Franchise Disclosure Document, the 'Brand Marketing Fund' is defined as a common pool of funds used for advertising and promotion. Brueggers Bagels franchisees contribute to this fund, which the franchisor then administers.
Brueggers Bagels has the discretion to use the fund for various marketing expenses, including creating advertising materials (video, audio, written, online, and mobile), producing promotional materials, sponsoring events, managing websites and social media, securing endorsement contracts, and covering salaries and expenses for employees working on marketing initiatives. The fund can also cover professional fees, administrative costs, overhead, and the implementation of advertising programs, including direct mail and media advertising.
While Brueggers Bagels will seek advice from franchisees regarding creative concepts and media, the franchisor retains the final authority on all programs financed by the Brand Marketing Fund (SMF). Franchisees acknowledge that the SMF aims to maximize general public recognition and patronage of Brueggers Bagels outlets. Brueggers Bagels is not obligated to make expenditures that are equivalent or proportional to a franchisee's contribution or to ensure that any particular franchisee benefits directly or pro rata from the SMF expenditures. A franchisee's obligation to contribute to the SMF is not reduced or eliminated if they do not directly benefit from it, or if other franchisees fail to contribute the appropriate amount.
This arrangement means that while franchisees contribute to the marketing fund, they may not see direct or proportional benefits from its use. The franchisor has broad discretion in how the funds are spent, focusing on overall brand promotion rather than individual franchisee needs. A prospective franchisee should consider this when evaluating the costs and potential benefits of the Brueggers Bagels franchise.
