From whom must the Licensee purchase furniture, fixtures, and equipment for a Brueggers Bagels bakery?

Licensee acknowledges that its recipes, preparation techniques and processes for such products are integral to the System and failure to strictly adhere to such recipes, preparation techniques and processes (including the handling and storage of both ingredients and fully prepared menu items) shall be detrimental to the System and Marks and shall constitute a material breach of this Agreement.
- (j) Licensor will provide to Licensee a list of approved manufacturers, suppliers and distributors ("Approved Suppliers List"), approved inventory products, fixtures, furniture, equipment, signs, stationery, supplies, and other items or services necessary to operate the Bakery ("Approved Supplies List").
Such list will specify the inventory products, fixtures, furniture, equipment, signs, stationery, supplies and services and the manufacturer, supplier and distributor for such items which Licensor has approved to be carried or used in the System.
Licensor and its affiliates are approved suppliers for certain products and other items.
Licensor may revise the Approved Suppliers List and Approved Supplies List from time to time, in its sole discretion, and such lists shall be submitted to Licensee as Licensor deems advisable.
- (k) If Licensee proposes to offer for sale at the Bakery any brand of product, or to use in the operation of the Bakery any brand of food ingredient or other material or supply which is not then approved by Licensor as meeting its minimum Standards, or to purchase any product from a supplier that is not then designated by Licensor as an approved supplier, Licensee shall first notify Licensor and shall upon request by Licensor submit samples and such other information as Licensor requires for examination and/or testing or to otherwise determine whether such product, material or supply, or such proposed supplier meets its specifications
and quality standards. Licensor, at its option, may charge Licensee a fee in connection with such examination and/or testing which will not exceed the reasonable cost of the inspection and evaluation and the actual cost of the test. Licensor reserves the right, at its option, to re-inspect the facilities and products of any supplier of an approved item and to revoke its approval of any item which fails to continue to meet any of Licensor's criteria.

According to Brueggers Bagels' 2025 Franchise Disclosure Document, franchisees must purchase furniture, fixtures, and equipment from approved suppliers. Upon request, the franchisee must submit samples and other information for examination and testing to determine if the product or supplier meets Brueggers Bagels' standards. Brueggers Bagels has the option to charge a fee for this examination and testing, not exceeding the reasonable cost of inspection, evaluation, and the actual cost of the test.
Brueggers Bagels reserves the right to re-inspect the facilities and products of any supplier of an approved item and to revoke approval if the item fails to meet their criteria. This ensures that all products and supplies used in the Brueggers Bagels system meet the franchisor's standards, maintaining consistency and quality across all locations. Franchisees are also required to use proprietary packaging and uniforms provided or approved by Brueggers Bagels, further reinforcing brand consistency.
