What happens to the rights granted to a Brueggers Bagels licensee upon termination or expiration of the agreement?

For the Facility covered by this Agreement, upon termination or expiration, this Agreement and all rights granted hereunder to Licensee shall terminate, and:
(a) Licensee shall immediately cease to operate the Bakery under this Agreement, and shall not, directly or indirectly, represent to the public or hold itself out as a present or former licensee of Licensor;
(b) Licensee shall immediately and permanently cease to use, by advertising or in any manner whatsoever, any Confidential Information including the Manuals and any confidential methods, procedures, and techniques associated with the System; the Marks and distinctive forms, slogans, signs, symbols, logos, or devices associated with the System.
In particular, Licensee shall cease to use, without limitation, all signs, advertising materials, stationery, forms, and any other articles which display the Marks associated with the System;
(c) Licensee shall take such action as may be necessary to cancel or assign to Licensor or Licensor's designee, at Licensor's option, any assumed name rights or equivalent registration filed with state, city, or county authorities which contains the name "Bruegger's" or any Mark, and Licensee shall furnish Licensor with evidence satisfactory to Licensor of compliance with this obligation within thirty (30) days after termination or expiration of this Agreement;
(d) Licensee shall not use any reproduction, counterfeit, copy or colorable imitation of the Marks, which is likely to cause confusion, mistake or deception, or which is likely to dilute Licensor's exclusive rights in and to the Marks and shall not utilize any designation of origin or description or representation which falsely suggests or represents an association or connection with Licensor so as to constitute unfair competition.

According to the 2025 Brueggers Bagels Franchise Disclosure Document, upon termination or expiration of the License Agreement, all rights granted to the licensee terminate. The licensee must immediately cease operating the bakery under the agreement and cannot represent themselves as a current or former licensee of Brueggers Bagels.
Furthermore, the licensee must immediately and permanently stop using any confidential information, including manuals, methods, procedures, and techniques associated with the Brueggers Bagels system. This includes the trademarks, distinctive forms, slogans, signs, symbols, logos, or devices associated with the system. The licensee is required to cease using all signs, advertising materials, stationery, forms, and any other articles displaying the marks associated with the system.
The licensee is also obligated to take necessary actions to cancel or assign to Brueggers Bagels any assumed name rights or equivalent registrations filed with authorities that contain the name "Bruegger's" or any mark. Evidence of compliance with this obligation must be furnished to Brueggers Bagels within thirty (30) days after termination or expiration. The licensee is prohibited from using any reproduction, counterfeit, copy, or imitation of the marks that could cause confusion or dilute Brueggers Bagels' exclusive rights to the marks, and cannot utilize any designation that falsely suggests an association with Brueggers Bagels.
