If we approve you for a "Bruegger's" franchise, you will have the opportunity to sign a Franchise Agreement with us. Our current form of Franchise Agreement is in Exhibit A to this disclosure document. Under the Franchise Agreement, we grant you the right to operate one Bakery at a location that we have approved (the "Premises"). You must operate your Bakery using the marks we designate for the operation of Bruegger's Bakeries (collectively, the "Proprietary Marks") and using our system (the "System"), which is described in our confidential systems manuals (the "Manuals"). The Manuals contain technical information and expertise we provide to you relating to the preparation and production of food products; the use of special dough and cream cheese which are identified by the public with our products; special recipes and menu items; distinctive exterior and interior design, decor, fixtures, and furnishings; standards and specifications for products and supplies; service standards; specifications and procedures for operations; training and assistance; and advertising and promotional programs, all of which we may change in our sole discretion.

What This Means (2025 FDD)
According to the 2025 Brueggers Bagels Franchise Disclosure Document, franchisees are required to use the specific marks designated by the franchisor. As stated in Item 1, the Franchise Agreement grants the franchisee the right to operate one Bakery at an approved location. A key condition of this agreement is that the franchisee must operate their Bakery using the Proprietary Marks designated by Brueggers Bagels, as well as adhering to the System detailed in the confidential systems manuals.
This requirement ensures brand consistency across all Brueggers Bagels locations. By mandating the use of Proprietary Marks, Brueggers Bagels aims to maintain a uniform brand image and customer experience. This is a common practice in franchising, as it helps to build brand recognition and customer loyalty. The Proprietary Marks are collectively the marks that Brueggers Bagels designates for the operation of Bruegger's Bakeries.
Furthermore, franchisees must adhere to the Brueggers Bagels System, which includes specifications for food preparation, recipes, interior and exterior design, service standards, and operational procedures. These are detailed in the Manuals, which Brueggers Bagels can change at its discretion. This comprehensive control over branding and operations allows Brueggers Bagels to maintain quality and consistency throughout the franchise network.
