This involves operating their Bakeries in strict compliance with Brueggers Bagels' quality control standards and specifications. This is crucial for maintaining the reputation, public image, and goodwill of the Brueggers Bagels system. The franchisor has developed this goodwill through dedicated operations, marketing methods, and merchandising policies, all of which contribute to the highest standards of training, management, supervision, appearance, services, and product quality.

To uphold these standards, Brueggers Bagels franchisees must use bagels and cream cheese products prepared according to secret and proprietary recipes and manufacturing processes. They must also maintain the distinctive exterior and interior Bakery design, décor, color scheme, fixtures, and furnishings as specified by Brueggers Bagels. Furthermore, franchisees are required to adhere to the standards and specifications for ingredients, food preparation, equipment, supplies, and Bakery operations. This includes following uniform standards, specifications, methods, policies, and procedures for Bakery operations, as well as utilizing proprietary inventory and management control systems.

Upon termination or expiration of the Franchise Agreement, the franchisee must cease using the confidential methods, procedures, and techniques associated with the Brueggers Bagels system, including the "Bruegger's" and "Bruegger's Bagels" names and marks. They must also discontinue using all other Proprietary Marks, distinctive forms, slogans, signs, symbols, websites, domain names, email addresses, and other electronic identifiers associated with the system. Additionally, franchisees must withdraw all advertising matter and refrain from representing themselves as a present or former franchisee of Brueggers Bagels. These obligations ensure that the franchisee does not continue to benefit from the Brueggers Bagels system's goodwill after the agreement ends, thereby protecting the brand's reputation.
