Does Brueggers Bagels have to establish a Marketing Co-op for any area?

We have the right to allocate your Marketing Contribution in the proportion that we designate among the following: (a) the Systemwide Marketing Fund ("SMF"); (b) any Marketing Co-op we establish for your area (but we are not required to establish a Marketing Co-op for any area); and (c) local store marketing ("LSM").
- We have the right to designate any geographic area or set of common characteristics for purposes of establishing a Marketing Co-op. If a Marketing Co-op is applicable to your Bakery, you must become a member and begin contributing. You will not have to contribute to more than one Marketing Co-op for the same Bakery at the same time. We (or our affiliates, as the case may be) will become a member of any Marketing Coop that is applicable to a Bakery owned by us or our affiliates.
We may grant any franchisee an exemption for any length of time from the requirement of membership in a Marketing Co-op, upon written request stating reasons that we deem sufficient to support the exemption. Our decision concerning any request for exemption will be final.
- Each Marketing Co-op will be organized for the exclusive purpose of developing, administering, and executing advertising programs for its members. No advertising or promotional plans or materials may be used by the Marketing Co-op or furnished to its members without our prior approval as described below.

What This Means (2025 FDD)
According to Brueggers Bagels' 2025 Franchise Disclosure Document, Brueggers Bagels is not required to establish a Marketing Co-op for any area. However, Brueggers Bagels has the right to establish a Marketing Co-op for any geographic area or set of common characteristics.
If a Marketing Co-op is established and applicable to a franchisee's bakery, the franchisee must become a member and contribute to it. Franchisees will not have to contribute to more than one Marketing Co-op for the same bakery at the same time. Brueggers Bagels, including its affiliates, will also become a member of any Marketing Co-op that applies to a bakery they own.
Brueggers Bagels also has the right to grant a franchisee an exemption from Marketing Co-op membership, based on a written request with sufficient reasons. The decision to grant an exemption is at Brueggers Bagels' discretion and is final. Each Marketing Co-op will focus exclusively on advertising programs for its members, and all advertising plans and materials require Brueggers Bagels' prior approval.
