What This Means (2025 FDD)

According to Browns Chicken's 2025 Franchise Disclosure Document, the Sublessor has specific rights outlined in the sublease agreement. The Sublessor has the right to terminate the sublease under certain conditions, including default by the Sublessee, termination of the franchise agreement, any act that would constitute a default by the Sublessor under the original lease, or cancellation/termination of the original lease. However, if the lease termination is due to the Sublessor's default as the Lessee, the Sublessee has the right to cure the default if permitted by the lease.

Browns Chicken requires that the Sublessor must provide written notice to the Sublessee for any non-payment of rental installments or other payments, and the Sublessee has three days to make the payment after receiving this notice. The Sublessor must also provide notices to the Sublessee via registered or certified mail to the Sublessee's address at the premises, unless the Sublessee provides a different address in writing.

Additionally, the document states that there is no promise from the Sublessor to alter, remodel, or improve the premises unless it is explicitly stated in the sublease. The Sublessor's obligations also extend to ensuring that certain covenants, agreements, obligations, and restrictions of the original lease are upheld by the Sublessee, and that the rights of the owner are created for the benefit of the Sublessor. Browns Chicken emphasizes that the sublease constitutes the entire agreement, and neither party can rely on oral statements or representations.
