What This Means (2025 FDD)

According to the 2025 Browns Chicken Franchise Disclosure Document, Browns Chicken retains significant rights even within a franchisee's designated territory. Browns Chicken maintains the right to produce, offer, and sell similar products and services through different distribution channels, both within and outside the franchisee's territory, under trademarks other than the Browns Chicken marks. This means Browns Chicken could introduce competing brands or products that don't carry the Browns Chicken name.

Browns Chicken also reserves the right to produce, offer, and sell similar products through dissimilar channels of distribution under the Browns Chicken trademarks within or outside the territory. This could include selling Browns Chicken products through avenues like grocery stores or partnerships with other food service providers. Additionally, Browns Chicken can operate or franchise Browns Chicken stores outside the franchisee's territory, regardless of their proximity to the franchisee's store.

Furthermore, Browns Chicken retains the right to acquire or be acquired by a company that establishes businesses identical or similar to Browns Chicken, even if these businesses compete directly with the franchisee's store, regardless of location. These retained rights highlight that while a franchisee is granted a territory, Browns Chicken maintains considerable flexibility to operate and expand its brand through various channels and locations, potentially creating competition for the franchisee.
