What This Means (2025 FDD)

According to the 2025 Browns Chicken Franchise Disclosure Document, the franchisee must acknowledge Brown's Chicken, LLC's ownership of the Marks licensed to them through the Franchise Agreement. The franchisee's right to use these Marks is solely derived from the Franchise Agreement, and any goodwill established through the franchisee's use of the Marks will exclusively benefit Browns Chicken. This means that Browns Chicken retains full control and ownership of its brand identity, and the franchisee's use of the brand benefits Browns Chicken directly.

Upon termination or expiration of the franchise agreement, the franchisee is prohibited from identifying themselves or any business as a Browns Chicken store, a former Browns Chicken store, or as being associated with Browns Chicken in any way. They cannot use any of the Marks for any purpose. This restriction ensures that franchisees do not continue to benefit from the Browns Chicken brand after their agreement ends, protecting the brand's integrity and reputation.

Furthermore, the franchisee agrees not to contest the validity or ownership of any of the Marks, either during the term of the agreement or after its termination. They also cannot assist others in contesting the validity or ownership of the Marks. Any unauthorized use of the Marks by the franchisee constitutes an infringement of Browns Chicken's rights. This clause reinforces Browns Chicken's legal protection of its trademarks and service marks, preventing franchisees from challenging or undermining the brand's intellectual property rights.

In essence, these acknowledgements ensure that the franchisee recognizes and respects Browns Chicken's ownership and control over its brand identity, limiting the franchisee's rights to use the Marks strictly within the bounds of the franchise agreement and preventing any actions that could harm or dilute the brand's value.
