Does the Browns Chicken franchisee acquire any ownership interest in the Confidential Information?

According to the 2025 Browns Chicken Franchise Disclosure Document, the franchisee does not acquire any ownership interest in the Confidential Information. Browns Chicken possesses unique, confidential, and proprietary information and trade secrets, including recipes, methods, techniques, procedures, knowledge, marketing programs, and training methods. Browns Chicken will disclose this Confidential Information to the franchisee during training, in the Operating Manual, and through ongoing guidance.

The franchisee's rights are limited to utilizing the Confidential Information solely for operating their Browns Chicken store. The agreement explicitly states that using or duplicating this information in any other business would be considered unfair competition against Browns Chicken and its other franchisees. This restriction ensures that the franchisee's focus remains on the Browns Chicken business and prevents them from leveraging the franchisor's proprietary information for outside ventures.

The franchisee acknowledges that the Confidential Information is a valuable asset and includes Browns Chicken's trade secrets. The franchisee agrees to maintain absolute secrecy and confidentiality both during and after the franchise term. They are prohibited from using the information in any other business, making unauthorized copies, and must implement procedures to prevent unauthorized use or disclosure, including imposing non-disclosure agreements on their employees. This obligation extends beyond the termination of the Franchise Agreement, ensuring continued protection of Browns Chicken's Confidential Information.
