What This Means (2025 FDD)
According to Browns Chicken's 2025 Franchise Disclosure Document, the franchisee must ensure that certain individuals associated with their franchise execute a confidentiality and noncompetition agreement. Specifically, the franchisee must notify Browns Chicken of the name and address of each affiliate, officer, director, partner, supervisory employee, and owner of the franchisee. This information must be updated whenever necessary to keep it current.
Accompanying this notification, the franchisee must include a copy of a confidentiality and noncompetition agreement, in a form satisfactory to Browns Chicken. This agreement must be executed by the individual at the time they acquire an interest in or become associated with the franchisee. By signing, the individual consents to be bound by the restrictive covenants outlined in the agreement and to Browns Chicken's and the franchisee's enforcement of these covenants.
This requirement ensures that all individuals with significant involvement in the Browns Chicken franchise are legally bound to protect the brand's confidential information and adhere to noncompetition terms. This is a common practice in franchising to safeguard the franchisor's business model and trade secrets. The obligations of the franchisee to maintain these agreements survive the termination or expiration of the Franchise Agreement.
