Upon termination of the contract with Wilkens Foodservice, Brown may approve one or more other distributors. Brown's approval may be conditioned on requirements relating to the frequency of delivery, standards of service, including prompt attention to complaints, or other criteria, and concentration of purchases, as set forth above, and may be temporary, pending a further evaluation of such distributor or other supplier by Brown.

What This Means (2025 FDD)
According to Browns Chicken's 2025 Franchise Disclosure Document, Browns Chicken can indeed condition its approval of a distributor on requirements such as delivery frequency. Browns Chicken's approval may be based on criteria like delivery frequency, service standards (including addressing complaints promptly), purchase volume, and other factors. This approval can also be temporary while Browns Chicken evaluates the distributor.
This means that as a Browns Chicken franchisee, you may be required to use distributors that meet specific operational standards set by Browns Chicken. These standards ensure consistency and quality across all franchise locations. Browns Chicken maintains the right to modify its list of approved suppliers and brands, and franchisees must comply with these changes after receiving written notification.
Currently, Wilkens Foodservice is the approved distributor for food, beverage, and dry goods, excluding bakery items. Franchisees are obligated to purchase these items from Wilkens Foodservice. Browns Chicken does not receive rebates from Wilkens Foodservice based on franchisee purchases, and the contract with Wilkens Foodservice does not have a set term. If the contract with Wilkens Foodservice ends, Browns Chicken can approve other distributors, subject to the conditions mentioned above.
For a prospective franchisee, this highlights the importance of understanding and adhering to Browns Chicken's supplier requirements. It also means being prepared for potential changes in approved distributors and the conditions that come with those changes, which could impact your operational costs and logistics.
