What This Means (2025 FDD)

According to the 2025 Browns Chicken Franchise Disclosure Document, Browns Chicken makes no warranties or guarantees that a franchisee may rely on when Browns Chicken grants any waiver, approval, or consent to the franchisee. Browns Chicken also assumes no liability or obligation to the franchisee by granting any waiver, approval, or consent.

This means that if Browns Chicken provides a waiver, approval, or consent for a franchisee to take a certain action, the franchisee cannot hold Browns Chicken responsible if that action leads to negative consequences. The franchisee bears the full risk. This is a common practice in franchising, as franchisors want to maintain control over their brand and system without being held liable for every decision a franchisee makes.

Furthermore, any waiver granted by Browns Chicken is subject to continuing review and may be revoked at any time, for any reason, at Browns Chicken's sole discretion. Browns Chicken will provide ten days prior written notice to the franchisee before revoking a waiver. This clause reinforces Browns Chicken's control and allows them to change their position on a previously approved matter. Prospective franchisees should carefully consider this clause and understand that any waivers granted are not permanent and can be withdrawn.
