What This Means (2025 FDD)
According to Brightstar Care's 2025 Franchise Disclosure Document, after completing initial training, a franchisee must sign up to receive National Accounts business. Brightstar Care will then refer National Accounts to the franchisee. The franchisee is obligated to service these National Accounts according to the National Accounts contract and the guidelines outlined in the Operations Manual. This includes adhering to service requirements based on the National Accounts' gross margin percentages, as specified in the Operations Manual.
Brightstar Care has the exclusive right to negotiate agreements with National Accounts on behalf of its franchisees, unless specifically delegated in writing. National Accounts are defined as customers who manage or control businesses in more than one franchisee's protected territory, such as hospital chains or insurance companies. Brightstar Care retains the sole discretion to designate an account as a National Account and resolve any related disputes.
A franchisee cannot solicit business from, provide services to, or negotiate rates directly with any National Accounts client without Brightstar Care's prior written consent, although such consent will not be unreasonably withheld. If a franchisee fails to provide services to a National Accounts customer and has not formally opted out, Brightstar Care may terminate the agreement or remove the franchisee from the National Accounts program. This ensures that National Accounts are consistently serviced and that Brightstar Care maintains control over these significant client relationships.
