We are an Illinois limited liability company with our principal offices at 2275 Half Day Road, Suite 210, Bannockburn, Illinois 60015. We were organized on January 21, 2005, and have offered franchises since August 2005. We do not operate any other business and have not previously operated a business utilizing the BrightStar Care concept, although one or more of our affiliates have operated a BrightStar Care business since October 2002. We do not offer franchises in any other line of business. We have no predecessors.
Our direct parent company is BrightStar Group Holdings, Inc., a Delaware corporation ("BrightStar Holdings") whose principal offices are at 2275 Half Day Road, Suite 210, Bannockburn, Illinois 60015. In turn, the direct parent company of BrightStar Group Holdings, Inc. is BrightStar Buyer, Inc. ("BB"), a Delaware corporation, which in turn is controlled and directly owned by BrightStar Intermediate, Inc. ("BI"), a Delaware corporation, which in turn is controlled and directly owned by BrightStar Holdings Parent, LLC ("BHP"), a Delaware limited liability company. BB, BI and BHP share our principal place of business.

What This Means (2025 FDD)
According to the 2025 Brightstar Care Franchise Disclosure Document, BrightStar Franchising, LLC, the franchisor, has not previously operated a business utilizing the BrightStar Care concept. However, one or more of its affiliates have operated a BrightStar Care business since October 2002. Specifically, Bright Star Nevada operated BrightStar Healthcare Agencies, which are similar to the BrightStar Care Agency Program, from October 2002 through January 2010. BrightStar Franchising, LLC has been offering franchises since August 2005 and does not offer franchises in any other line of business.
Brightstar Care's affiliate, BrightStar SLF, previously offered franchises for assisted living and memory care facilities under the BRIGHTSTAR SENIOR LIVING name from February 2015 until approximately March 2023. As of the 2024 fiscal year end, two BRIGHTSTAR SENIOR LIVING facilities remained in operation. BrightStar SLF has also offered BrightStar® CARE HOMES franchises since 2021, involving the operation of group homes with supervised care for 10 to 12 residents. As of the 2024 fiscal year end, BrightStar SLF had granted one franchise for CARE HOMES communities.
For a prospective franchisee, this means that while the franchisor itself has not directly operated a BrightStar Care agency, its affiliates have experience in the BrightStar Care business model and related senior care services. This could provide a level of confidence, knowing that the business model has been tested and operated by related entities. However, it's important for potential franchisees to understand the distinctions between the BrightStar Care agency program and the assisted living/memory care facilities or CARE HOMES franchises offered by BrightStar SLF, as these are separate business models with their own franchise disclosure documents.
