In 2022, Brightstar and its affiliates started the process of acquiring territories that had been previously franchised. In 2024, Brightstar and its affiliates acquired a total of 4 territories, in addition to the 9 territories acquired in 2023 and the 17 territories acquired in 2022. All 4 agencies acquired during 2024 started the year as franchised agencies (2 were acquired in February 2024, and 2 were acquired in April). Table A provides 2024 performance (in Notes 1-4 and corresponding portions of Table) with and without these acquired agencies to provide a view of full system performance. Schedules B, C, D, and E include what are now these 4 BrightStar affiliate-owned agencies that were owned by franchisees during a portion of 2024; the performance of these agencies did not materially change between the date of acquisition and the end of the year.

What This Means (2025 FDD)
According to Brightstar Care's 2025 Franchise Disclosure Document, Table A includes the performance of agencies acquired by Brightstar Care's affiliates. Specifically, Table A provides 2024 performance data both with and without these acquired agencies. This allows prospective franchisees to view the full system performance with and without the impact of these acquisitions.
Brightstar Care acquired 17 territories in 2022, 9 in 2023, and 4 in 2024. The FDD notes that the performance of these acquired agencies did not materially change post-acquisition compared to their pre-acquisition performance. Two agencies were acquired in February 2024, and two were acquired in April 2024.
Including acquired agencies in Table A, with a separate presentation that excludes them, gives potential franchisees a more comprehensive understanding of overall system financial performance. This approach provides transparency regarding how acquisitions impact the financial data presented. Brightstar Care also includes these acquired agencies in Schedules B, C, D, and E, clarifying that their performance remained consistent after the acquisitions.
