Does the Brightstar Care franchise agreement supersede prior negotiations, understandings, representations, and agreements?
Brightstar_Care Franchise · 2025 FDDAnswer from 2025 FDD Document
This Agreement and all ancillary agreements executed contemporaneously with this Agreement constitute the entire agreement between the parties with reference to the subject matter of this Agreement and supersede any and all prior negotiations, understandings, representations and agreements; provided, however, that nothing in this sentence is intended to disclaim the representations BrightStar made in the FDD that BrightStar provided to you. You acknowledge that you are entering into this Agreement, and all ancillary agreements executed contemporaneously with this Agreement, as a result of your own independent investigation of the business opportunity and not as a result of any representations about BrightStar made by its shareholders, officers, directors, employees, agents, representatives, independent contractors or franchisees which are contrary to the terms set forth in this Agreement or of any Disclosure Document, prospectus, disclosure document or other similar document required or permitted to be given to you pursuant to applicable law.

What This Means (2025 FDD)
According to Brightstar Care's 2025 Franchise Disclosure Document, the franchise agreement represents the entire agreement between the involved parties. Specifically, the Brightstar Care franchise agreement and any ancillary agreements executed at the same time constitute the entire agreement.
This means that any prior negotiations, understandings, representations, and agreements are superseded by the terms outlined in the franchise agreement. However, the FDD clarifies that this does not disclaim the representations Brightstar Care made in the FDD itself.
The document emphasizes that franchisees acknowledge entering the agreement based on their own independent investigation, not due to representations made by Brightstar Care's shareholders, officers, directors, employees, agents, representatives, independent contractors, or franchisees that contradict the franchise agreement or the FDD. This clause is a standard integration clause in franchise agreements, designed to prevent disputes based on verbal promises or understandings that are not written into the contract.
