According to Brightstar Care's 2025 Franchise Disclosure Document, the designated Control Person for a franchise must be identified on the Control Person Addendum. This addendum is attached to the Franchise Agreement as Exhibit K. Initially, for the first two years of operation, the franchisee (or the owner of the entity, if the franchisee is an entity) must serve as the Control Person.
If a franchisee wishes to appoint someone else as the Control Person during the franchise term, they must seek approval from Brightstar Care. The proposed Control Person must meet specific standards and requirements set by Brightstar Care. These requirements include living within a one-hour drive of the territory, being present in the office or protected territory on a full-time daily basis, and successfully completing Brightstar Care's initial training program. For franchisees owning multiple protected territories, the Control Person must take ownership of day-to-day operations and local management teams, be present in one of the protected territories' offices on a full-time daily basis, and complete the initial training program.
The Control Person is defined as the individual with the authority to actively manage the agency's business affairs, oversee general management, and sign contracts. Brightstar Care requires advance written notice and approval before any change to the designated Control Person. The franchisor must confirm that the proposed replacement meets the then-current standards and requirements. Furthermore, Brightstar Care reserves the right to state that the current Control Person no longer meets their standards if the agency's performance falls below expectations.
