than 180 days to obtain the license to perform those services, the Minimum Start Date will be the Monday following the receipt of licensure which enables you to perform Companion and Personal in-home care services. You must diligently and actively pursue all licenses to enable you to perform the fullest extent of the BrightStar business model. You will be billed within 28 days of the end of each week for royalties.

    1. Office/Salesperson requirement(s). You acknowledge and agree that the office and salesperson requirements under the Franchise Agreement are contractual obligations; however, we will waive these two requirements under the following conditions:
    • i. You must grow the "Baseline Net Billings" in the Protected Territory by $5,000/week within 12 months from the Opening Date.
      • a. For purposes of this Amendment, "Baseline Net Billings" is defined as the Net Billings from services within the Protected Territory as of the Opening Date. i.e., if Net Billings upon Opening in the Protected Territor

According to Brightstar Care's 2025 Franchise Disclosure Document, "Baseline Net Billings" is defined as the Net Billings from services within the Protected Territory as of the Opening Date. The Opening Date is defined as the earlier of the date of your first billing or 180 days after signing the Franchise Agreement.

For example, if a new Brightstar Care franchise has Net Billings of $10,000 per week upon opening in its Protected Territory, then $10,000 becomes the Baseline Net Billings. To qualify for waivers on the office and dedicated salesperson requirements in the following year, the franchisee must increase their Net Billings to $15,000 per week by the end of the first 12 months from the Opening Date.

Conversely, if a Brightstar Care franchise has no Net Billings in the zip codes of its Protected Territory as of the Opening Date, the Baseline Net Billings will be $0 per week. In this case, the franchisee must increase their Net Billings to $5,000 per week within the first 12 months to qualify for the office and dedicated salesperson waivers. This performance standard incentivizes franchisees to quickly establish and grow their business within their territory.
