What This Means (2025 FDD)
According to Brain Balance's 2025 Franchise Disclosure Document, certain states have franchise laws that mandate the registration or filing of the FDD, or require an exemption from registration. As of the date of the 2025 FDD, these states are California, Hawaii, Illinois, Indiana, Maryland, Michigan, Minnesota, New York, North Dakota, Rhode Island, South Dakota, Virginia, Washington, and Wisconsin.
Prospective Brain Balance franchisees should be aware of these registration and filing requirements, as they may impact the timeline for opening a franchise in these states. Registration states often have a review period, which can delay the process. It is important to consult with legal counsel to ensure compliance with all applicable state franchise laws.
Additionally, the FDD notes that other states may require registration, filing, or exemption under other laws, such as those regulating business opportunities or seller-assisted marketing plans. This means that even if a state is not listed as a traditional franchise registration state, there may still be compliance requirements to consider. Therefore, it is crucial for potential franchisees to conduct thorough due diligence and seek legal advice to understand the specific regulations in their desired location.
