What This Means (2025 FDD)

According to Brain Balance's 2025 Franchise Disclosure Document, Brain Balance, as the franchisor, has the option to assume a franchisee's lease if the franchise agreement expires or terminates. This option is exercisable within thirty (30) days after the expiration or termination of the agreement. This means that Brain Balance has a limited window to decide whether to take over the lease obligations for the location.

This clause is included in the franchise agreement to ensure business continuity and control over strategic locations. By having the option to assume the lease, Brain Balance can maintain a presence in a particular territory even if the original franchisee exits the system. This protects the brand's market coverage and prevents competitors from easily acquiring prime locations previously occupied by a Brain Balance center.

For a prospective Brain Balance franchisee, this condition highlights the importance of lease terms and the potential for the franchisor to step in. It is crucial to understand the circumstances under which the lease can be assigned and to negotiate lease terms that provide adequate protection and flexibility. Franchisees should carefully review Exhibit 5, referenced in the FDD, which contains the template for the Conditional Assignment of Lease, to fully understand their obligations and the franchisor's rights.
