What This Means (2025 FDD)
According to the 2025 Brain Balance Franchise Disclosure Document, if a franchisee leases office space for their Brain Balance business, the lease must contain a conditional assignment clause. This clause gives Brain Balance or its affiliates the option to assume the lease obligations if the franchise agreement expires or terminates.
Brain Balance has thirty (30) days after the expiration or termination of the franchise agreement to exercise this option. This means Brain Balance has the right to replace the franchisee and take possession of the leased space, or assign the lease to a third party.
This clause ensures that Brain Balance has control over the location of its franchises, even if a franchisee leaves the system. It allows Brain Balance to maintain a presence in a particular territory and to ensure a smooth transition to a new franchisee if necessary. For a prospective franchisee, this means that upon termination or expiration of their franchise agreement, Brain Balance has the right to take over their lease within 30 days, potentially impacting their ability to continue operating a similar business at the same location.
