Who can freely transfer the telephone listing assignment for a Brain Balance franchise?

FOR VALUE RECEIVED, the undersigned FRANCHISEE hereby irrevocably assigns the telephone listing and numbers stated below to FRANCHISOR, BB FRANCHISING LLC, upon the following terms and conditions:

- This assignment is made pursuant to the terms of that certain Franchise Agreement of event date herewith (hereinafter called the "Agreement") between BB FRANCHISING LLC and FRANCHISEE.

- FRANCHISEE shall retain the limited conditional right to use the telephone listing and numbers solely for the transaction and advertising of the Franchised Business (as defined in the "Agreement") while the Agreement remains in full force and effect, but upon expiration and termination of the Agreement for any reason whatsoever, the limited conditional right to use of the telephone listing and numbers by FRANCHISEE shall also expire and/or terminate.

What This Means (2025 FDD)
According to the 2025 Brain Balance Franchise Disclosure Document, BB Franchising LLC has the right to freely transfer the telephone listing and numbers associated with a Brain Balance franchise to any person or entity. This right is outlined in the conditional assignment of telephone numbers agreement that the franchisee signs.
This means that while the franchisee has the right to use the assigned telephone listing and numbers for their Brain Balance business while the franchise agreement is active, this right is conditional. Upon the expiration or termination of the franchise agreement for any reason, the franchisee's right to use the telephone listing and numbers expires.
Furthermore, BB Franchising LLC can transfer the telephone listing to anyone they choose. This transfer benefits any party that legally succeeds the rights or takes the place of BB Franchising LLC. This clause ensures that Brain Balance retains control over the phone numbers associated with its franchise locations, allowing for a seamless transition if the franchise is sold or transferred.
